Strategy Development
The first step is to develop an acquisition strategy that outlines the specific goals and criteria for a potential transaction. What does your ideal candidate look like? Our team will help you organize your acquisition strategy by assisting with the following: (1) Developing an Acquisition Strategy, (2) Identify Funding Sources, (3) Create Target List, and (4) Identify Acquisition and Integration Team.
Negotiation & Structuring
Our team will help determine the most appropriate transaction structure and deal terms in order to reach a successful transaction. Our role in this process is to facilitate the negotiations and ensure favorable deal terms. Given our experience in this sector, we can help you on certain key negotiating items such as: (1) Holdback amount, (2) Survival Period, (3) Earn-Out, etc.
Identify & Engage
Our team will alongside your management team to help identify and engage potential sellers of target schools. We will identify both positive and negative characteristics of the acquisition target and help the management team in assessing whether to proceed with the acquisition process. Transaction Management
Our team oversee every aspect of the confirmatory due diligence process. We begin by setting up a secure data room to exchange information with the buying party. We work with the buyer’s CPA to conduct a quality of earnings of the business along with coordinating the real estate inspections. Finally, we work with the attorneys to facilitate the execution of the definitive agreements.
Valuation & Underwriting
Our team will conduct a deep dive into the business operations, financial performance, and market dynamics to determine the feasibility and suitability. Upon further data gathering and review, we prepare a financial model and underwriting materials that highlights our valuation of the company and projects the return potential based on equity and debt assumptions.
Closing & Transition
Upon signing the definitive agreements, our team gears up to prepare for a closing. We help work through pre-closing processes including finalizing the working capital schedule, disclosure schedule, and settlement statement. The change of ownership process is also facilitated by our team. We utilize our proven strategies on announcement and integration to ensure a smooth transition.
